Way to Create A Subdomain Especially For Microsoft AdCenter Traffic

I have a client who is in the financial space. Microsoft Adcenter wants him to ad a disclaimer to the top of his page that would hurt his organic conversions. Until he adds this disclaimer, he is unable to run traffic to his site. Both organic and paid conversions from Adcenter are over 200 per day so he wants to keep both streams of traffic.

I recommended a solution of creating a subdomain for the Adcenter traffic with the subdomain blocked from being indexed so he is not facing any duplicate content issues. My concern is that his quality score will be dinged and the price of his ads will skyrocket?

Is this a valid worry or do you think we are okay with this design? And, if you know of a better way to manage this I am all ears... His site is brutally white hat, built over the last 7 years, and very profitable. The most important thing in this process is to do no harm.
